JOB SUMMARY

The Director of Finance M&A Integrations is a critical Finance leadership role that will interface across various teams and senior levels of the Company, as well as the external auditors. Embedded within the Controllership as a proven accounting operations leader, this position is accountable for the end-to-end processes impacting Finance surrounding the Company’s mergers and acquisitions, beginning with financial due diligence, and ending with the integration of acquirees into AWP’s financial processes. The role will partner with Corporate Development, Integrations, cross-functional M&A team leads, as well as subject matter experts and leaders within the Finance organization. A successful candidate will be confident and assertive, have the ability to lead both large and small teams, will provide a strong voice to represent Finance throughout the M&A process, and will work collaboratively with key partners within Finance (e.g. Tax, Treasury, Controllership, FP&A, Data Analytics, etc.) and outside of Finance (Corp Dev, Legal, HR, etc.). This position will report to the SVP, Corporate Controller. 

 

JOB RESPONSIBILITIES

  • Support the Corporate Development team by driving the analysis and financial due diligence processes to measure the performance of proposed acquisitions and/or business opportunities
  • Conduct interviews with the target’s Finance and management team, work with third parties during due diligence and serve as a key contact through integration
  • Prepare and deliver timely and accurate financial schedules including, Flow of Funds memos, estimate, and closing Net Working Capital schedules, Synergy, pro forma financial statements, and other ad hoc materials as needed
  • Manage cash disbursements and escrow arrangements for closing and post-closing periods
  • Assess significant accounting practices, closing procedures, and systems implementation of target companies. Implement post-closing controls, and support FP&A team members through complete financial integration
  • Provide technical accounting and pro forma presentation advice around deal structure and terms, and provide technical expertise, particularly with regard to ASC 805 Facilitate audit requests from external auditors supporting purchase accounting and provide support for any external reporting requirements of the transaction. Work effectively with external third parties (e.g., lawyers, accountants, consultants, etc.)
  • Act as a liaison between the acquired entity personnel, the regional controllers, external valuation experts, and the external audit team
  • Manage the end-to-end integration process and activities for Finance teams from the initial development of integration plans with milestones and timelines required to achieve deal-specific value and synergies, to execution of the tactical plans, to provide a clear roadmap for ongoing ownership to complete the integration
  • Assist with portions of the annual goodwill and other intangible asset impairment test, quarterly trigger analysis, and transitions tests
  • Assess and improve Finance’s M&A Integration approach, partnering with leaders across the organization to drive execution and efficiency. Develop repeatable processes that accelerate Finance integrations and ensure timely communication of events 
  • Coordinate and lead cross-functional meetings, document decisions & follow up on actions
  • Influence and make high-quality decisions and take decisive action. Work well under deadlines and juggle multiple priorities
  • Lead strategic projects as needs arise

JOB REQUIREMENTS

  • Bachelor’s degree in Accounting or Finance
  • Minimum 9+ years experience in operational accounting roles (prior experience in public accounting is a plus)
  • CPA with a diverse accounting background
  • Extensive exposure to M&A transactions and financial statement analysis, preferably with 1-3+ years of experience in a corporate M&A environment, investment banking, commercial lending, strategy consulting, or another financial/investment institution
  • Strong technical accounting background, particularly with regard to ASC 805. Exposure to integrated financial modeling and valuation (e.g., comparable company trading and transaction valuation, DCF, LBO, etc.). Superior Excel skills are a plus
  • Experience leading large, cross-functional, collaborative teams as well as directly managing small teams. Demonstrated success influencing and partnering with a diverse group of stakeholders, able to partner with deeply technical as well as operational, business-minded leaders
  • Exceptional analytical and organizational skills as well as oral and written communication skills. Most importantly, extremely detail oriented
  • Strong work ethic and ability to work independently or in teams with a high degree of professionalism and confidentiality

WORK ENVIRONMENT AND PHYSICAL DEMANDS

The employee must be able to successfully handle the physical demands of this position, which include the following:

  • Hours of operation are M-F, 8 a.m.- 5 p.m.
  • 40-hour work week Primarily sedentary or working at a desk
  • Occasionally lift and move 10 -25 pounds
  • While performing duties of this job, the employee is regularly required to talk or hear
  • Proficient literacy
  • The employee frequently is required to stand, walk, or reach with hands and arms
